(b) On March 14, 2008, Byron R. Kelley, Senior Vice President of CenterPoint Energy, Inc. (the
Company) and its Group PresidentPipelines and Field Services, notified the Company of his
intention to resign from the Company, effective as of the end of March 2008, in order to accept an executive
position with another company.
