(b)     On March 14, 2008, Byron R. Kelley, Senior Vice President of CenterPoint Energy, Inc. (the “Company”) and its Group President—Pipelines and Field Services, notified the Company of his intention to resign from the Company, effective as of the end of March 2008, in order to accept an executive position with another company.
